These Terms and Conditions ("Agreement") are a legal agreement between you (the "Client" or "you") and Sundust Visuals ("Service Provider" or "we", "us", "our"). By engaging our services, you acknowledge that you have read, understood, and agreed to be bound by the following terms. If you do not agree with any part of this Agreement, please do not engage our services.
Our services include but are not limited to: Professional videography and photography Aerial drone operations (FAA Part 107 Certified) Post-production editing, color grading, and sound design Custom media solutions tailored to your specific needs I will provide you with our best efforts in delivering high-quality visual content that meets your project's requirements.
Prior to commencing any work, I will agree on a detailed project scope outlining the services to be provided, deliverables, timeline, and budget. Any additional services or revisions requested after commencement may result in additional charges.
Deposit: A 50% non-refundable deposit is required upon signing this Agreement to secure our services. Balance: The remaining 50% balance is due within five (5) business days of project completion or delivery of final assets, whichever comes first. Late Payments: Any late payments will incur a service charge equal to the greater of one percent (1%) per month or the maximum amount allowed by law.
You acknowledge that I retain all right, title, and interest in and to my intellectual property, including but not limited to copyrights, trademarks, trade secrets, patents, and proprietary information. All visual content created by me remains my intellectual property until full payment has been received. Upon full payment, you will own the intellectual property rights to the final deliverables, subject to the following conditions: You must give me credit as the creator of the work (e.g., "© Sundust Visuals") You may not use my name, logo, or branding without my prior written consent I reserve the right to display or share project samples in my portfolio and marketing materials
I agree to keep confidential any sensitive information disclosed by you, unless such information becomes public through no fault of mine or is already known to me at the time of disclosure.
Warranty: I warrant that the services will be performed in a professional and workmanlike manner, consistent with industry standards. Limitation of Liability: IN NO EVENT WILL I OR MY REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF I HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify and hold harmless me and our representatives from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to your breach of this Agreement or misuse of our intellectual property.
This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, without giving effect to any principles of conflicts of law.
This Agreement constitutes the entire agreement between you and me with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements or understandings, whether written or oral, relating to the subject matter hereof.
I reserve the right to amend these Terms and Conditions at any time by posting the revised terms on our website. Your continued use of our services following any changes constitutes your acceptance of the new Terms and Conditions.
